Service Level Agreement (SLA)

This Master Service Level Agreement ("SLA") is the foundational contract guaranteeing the performance, availability, and reliability of the enterprise solutions provided by BlueGrid Core Solutions. As a holding company orchestrating five distinct, high-performance technology branches, we recognize that downtime is not merely an inconvenience—it is a critical business risk. This SLA mathematically quantifies our commitment to uptime, establishes rigid incident response timelines, and dictates the precise financial remedies you are entitled to in the unprecedented event that we fail to meet these exacting standards.

1. The 99.99% Global Uptime Guarantee

BlueGrid Core Solutions guarantees a minimum Monthly Uptime Percentage of 99.99% across our core infrastructure, defined as the Enterprise Command Center, our primary API gateways, and the underlying cloud fabric supporting BlueGrid Digitals and BlueGrid Connect. This equates to a maximum allowable downtime of exactly 4 minutes and 22 seconds per 30-day billing cycle.

"Downtime" is strictly defined as a period in which your specific, provisioned infrastructure is utterly inaccessible from the public internet due to a failure within the BlueGrid boundary, resulting in a continuous stream of HTTP 500 (Internal Server Error) or 503 (Service Unavailable) responses for a duration exceeding two consecutive minutes. "Uptime" is calculated by subtracting from 100% the percentage of 1-minute periods during the month in which the service was in a state of Downtime.

2. Branch-Specific Performance Metrics

Given the diverse nature of our five operating branches, specific performance nuances apply:

  • BlueGrid Connect (Telecom & VoIP): We guarantee a Mean Opinion Score (MOS) of 4.0 or higher for all SIP trunking routes terminating within our primary Tier-1 geographic zones. Jitter is guaranteed not to exceed 20ms, and packet loss is guaranteed to remain below 0.5% within our controlled network perimeter.
  • BlueGrid Security (Cybersecurity): Our Managed Detection and Response (MDR) SOC guarantees a "Time to Triage" (TTT) of 15 minutes or less for critical security alerts (Severity 1), utilizing automated SOAR runbooks before human escalation.
  • BlueGrid AI: Dedicated inference endpoints provisioned under Enterprise tiers guarantee sub-100ms latency for API response initialization, exclusive of complex model token generation time which scales non-linearly.
  • BlueGrid Managed & Digitals: Helpdesk support and cloud compute provisioning adhere strictly to the tiered response matrices detailed in Section 3.

3. Incident Response and Escalation Matrix

When a disruption occurs, time is critical. Our Network Operations Center (NOC) and Security Operations Center (SOC) operate 24/7/365. Support tickets must be submitted via the Enterprise Command Center portal to initiate the SLA timer. Response times are strictly governed by the severity of the incident:

4. Scheduled Maintenance Windows

To sustain our 99.99% uptime, regular patching and infrastructure upgrades are mandatory. "Scheduled Maintenance" is explicitly excluded from Downtime calculations. We pledge to notify your designated administrative contacts via email and portal banners at least 72 hours in advance of any maintenance that may impact service availability. Standard maintenance windows are rigidly scheduled between 02:00 AM and 05:00 AM (SAST / UTC+2) on weekends to minimize operational impact. "Emergency Maintenance," required to patch critical zero-day vulnerabilities, may occur at any time, though we will exert commercially reasonable efforts to provide expedited notice.

5. Force Majeure and Explicit Exclusions

The Uptime Guarantee and SLA Credits do not apply to any performance issues, latency, or Downtime resulting directly or indirectly from:

  • Force Majeure: Acts of God, catastrophic natural disasters, acts of war, terrorism, government mandates, severe regional power grid failures beyond our UPS/generator capacities, or internet backbone failures outside the BlueGrid autonomous system boundary.
  • Client-Induced Errors: Misconfigurations, faulty custom code deployed by the client, accidental deletion of resources via the portal or API, or failure to adhere to documented best practices and security hardening guidelines.
  • Third-Party Interference: Outages caused by third-party software, hardware, ISPs, or services not directly provisioned and managed by BlueGrid Core Solutions.
  • Security Suspension: Temporary suspension of services triggered automatically by our SOC to mitigate an active, catastrophic cyberattack (e.g., volumetric DDoS, ransomware lateral movement) targeting your specific infrastructure.

6. Service Credits and Financial Remedies

If we fail to achieve the 99.99% Monthly Uptime Percentage, you are legally entitled to receive Service Credits applied against future billing cycles. This is your sole and exclusive remedy for any failure to meet the SLA.

  • 99.9% to < 99.99%: 10% Service Credit of the monthly recurring fee for the affected service.
  • 99.0% to < 99.9%: 25% Service Credit of the monthly recurring fee for the affected service.
  • < 99.0%: 50% Service Credit of the monthly recurring fee for the affected service.

Claim Protocol: To receive a Service Credit, you must submit a formal claim via the portal within 30 days of the incident. The claim must include exhaustive documentation, including dates, times, affected services, and corroborating server logs or monitoring reports. BlueGrid Core Solutions will evaluate all claims in good faith based on our internal, immutable telemetry data.

7. Termination for Chronic Underperformance

In the extraordinarily rare event that your specific services experience a Monthly Uptime Percentage below 99.0% for three (3) consecutive billing cycles, or below 95.0% in any single billing cycle, you possess the immediate right to terminate your contract for cause, without penalty, and receive a prorated refund for any prepaid, unused services.
